Palm Health Management, LLC – Terms of Service

Welcome to Palm Health Management, LLC (“Palm Health Management,” “we,” “our,” or “us”). By accessing or using Palm Health Management’s website, mobile services, text-messaging programs, or any other online or offline service we operate (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to all of the Terms, do not access or use the Services.

Plain-English Note: These Terms form a legal contract. They outline what you can expect from us and what we expect from you. They also limit our liability should something go wrong. Read them carefully and keep a copy for your records.

1. Description of the Services

Palm Health Management provides administrative, practice-management, telecommunication, and patient-engagement tools—including SMS and MMS text messaging—to healthcare providers and their patients. We do not provide medical advice or medical services. All medical decisions remain solely between you and your qualified healthcare professional.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and capable of entering into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Your Responsibilities

Accurate Information. You agree to provide truthful, complete, and current information when creating an account or interacting with us.
Account Security. Keep your login credentials confidential. You are responsible for all activity that occurs under your account.
Compliance. Use the Services only for lawful purposes and in accordance with these Terms, the Health Insurance Portability and Accountability Act of 1996 (HIPAA), and all other applicable federal and state laws.
Message Content. You are solely responsible for the content of any messages, images, or data you transmit through the Services and for obtaining any consents required by law (including patient consent for SMS communications).

4. Prohibited Conduct

You agree not to:

Use the Services to send spam, deceptive, or unsolicited messages;
Violate any applicable law or regulation;
Transmit content that is defamatory, obscene, or infringes on another’s intellectual-property rights;
Interfere with or disrupt the integrity or performance of the Services;
Attempt to gain unauthorized access to any systems or networks.

5. Disclaimers

No Medical Advice. The Services and any information provided by Palm Health Management are for administrative and informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.
As-Is / As-Available. The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties—express or implied—including warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the fullest extent permitted by law, Palm Health Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, resulting from (a) your access to or use of—or inability to access or use—the Services; (b) any conduct or content of any third party; or (c) unauthorized access, use, or alteration of your transmissions or content. Our total liability to you for any claim arising out of or relating to the Services is limited to one hundred U.S. dollars (US $100). Some jurisdictions do not allow the exclusion or limitation of liability; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Palm Health Management, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt—including reasonable attorneys’ fees—arising out of (a) your use of and access to the Services, (b) your violation of any of these Terms, or (c) your violation of any third-party right, including any intellectual-property or privacy right.

8. Text Messaging Terms (10DLC Compliance)

By providing your mobile number to Palm Health Management, you consent to receive SMS or MMS messages regarding appointments, reminders, and service updates. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP to any message. For help, reply HELP or contact us using the information below.

9. Modifications to the Services and Terms

We reserve the right to modify or discontinue the Services—or to modify these Terms—at any time. If we make material changes, we will post the revised Terms on our website with a new “Last Updated” date. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law and Venue

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you submit to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

13. Entire Agreement

These Terms constitute the entire agreement between you and Palm Health Management concerning the subject matter herein and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
